Sanjay has voluminous experience of more than 19 years in the field of Mergers and Acquisition, Amalgamation, Demerger, Takeover, spin offs, Joint Ventures, Fund raising through Private Equity Investment, IPO, Right Issue, Bonus Issue, including area of corporate restructuring and general corporate matters encompassing strategic investments, foreign collaborations, technology and trademark licensing, and various other types of commercial contracts.
His repertoire of work experience also includes handling debt syndication, corporate finance through consortium banking/multiple Banking arrangement, corporate commercial transactions and commercial borrowing transactions and structured finance transactions. He has been involved in the contentious drafting, negotiation and finalization of loan documentation, security creation, security enforcement and rendering opinions and advice on Indian laws in this regard.
Sanjay has structured & negotiated a variety of business transactions drawing upon his experience with business formation, corporate governance & restructuring, securities & exchange control laws, IP, real estate, labour & employment and taxation.
He has handled various meetings of Shareholders, Board, Sub-committees of the Board, Investors, chaired many court convened meetings of creditors, shareholders in cases of merger, demerger.
Sanjay Khare is presently associated with National Collateral Management Services Ltd. (NCMSL) as Executive Vice President - Head Legal & Company Secretary and is responsible for the Pan India legal affairs as well as advising the Company's management and Board of Directors on strategic and corporate governance matters. With his rich knowledge and experience of over 17 years, he has been successfully managing and handling Company’s secretarial matters, compliance and legal affairs. Over the period of time, he has inculcated the caliber of resolving various issues
He represents the company in all civil and criminal litigation in lower courts, various High Courts in respect of Legal suits and other cases in the Hon. Supreme Court of India as and when required. Best understanding of Business and having strong negotiation skills he actively participates in business meetings with business heads to advise them on legal and commercial implications in transactions Involved with negotiating high value, complex commercial Contracts with Clients across industry; and provide general corporate commercial legal advice to management.
He has active engagement in the new projects since inception to the commencement of business Negotiation and finalization of terms of Investment of Investors, lenders/borrowers documents.
He has experience of land Acquisition in different States of India, liasoning with different Government department in various states for conversion of agri land into non agri land, different permissions required for construction and other regulatory approval and various statutory compliances under Companies Act Compliance and Risk Mitigation & Management, Labour Laws & Employment/ Personnel related legal issues and other statutory requirement. Liasoning with various Authorities like RBI, NSE, BSE, Regional Director office, ROC, Official Liquidator, NSDL, CDSL, Registrar and Share Transfer Agents, Police, EOW, CBI. Prior to joining NCMSL, he was associated with listed company, Panama Petrochem Limited and corporate legal firms as legal consultant. He had been dealing with Bombay Stock Exchange Limited (BSE) and National Stock Exchange Limited (NSE) and handling the periodic statutory compliances under The Companies Act, Listing Agreement, SEBI regulations Corporate Governance and all other regulatory compliances. He has represented in various arbitration proceedings and represented before DRT, DRAT, CBI, EOW and other statutory authorities for litigation/non-litigation matters.
Sanjay holds a law degree from the University of Kanpur and post graduate in Sociology (Industrial). He is also member of Institute of Company Secretaries of India
Sanjay takes keen interest in literature and has written many hindi poems, many of those have been published in various Hindi magazines and leading Hindi daily news papers. He was rewarded as best Hindi Poet by Hon. Governor of Uttar Pradesh at the age of 18.
